By registering with Semonics, you agree to these Terms of Service. By clicking "I Accept" or "Register" you agree to be bound by these terms. You can then proceed to our secure server to complete your registration and submit payment details.
| 1. | If you initially sign up for a Basic or Plus account, and you don't cancel that account within 30 days, you will be billed monthly starting on the 30th day after your account was initially created. If you cancel prior to the processing of your first invoice on the 30th day, you will not be charged. |
| 2. | The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. |
| 3. | All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes. |
| 4. | For any upgrade or downgrade in plan level, your Paypal account will automatically be charged the new rate on your next billing cycle. |
| 5. | Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Semonics does not accept any liability for such loss. |
| 1. | You are solely responsible for properly cancelling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by logging in to your paypal account. |
| 2. | All of your Content will be immediately deleted from the Service upon cancellation. This information can not be recovered once your account is cancelled. |
| 3. | If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again. |
| 4. | Semonics in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Semonics service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Semonics reserves the right to refuse service to anyone for any reason at any time. |
CUSTOMER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT THE CUSTOMER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS AVAILABLE" BASIS.
SEMONICS EXPRESSLY DISCLAIMS ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED
SEMONICS MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES SEMONICS MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
As part of account setup, you will select an account name and password. You are entirely responsible if you do not maintain the confidentiality of your password or account. If you learn that your password has been compromised, you must notify Semonics in a timely manner of any known breach of security.
Semonics may change the terms and conditions of the Terms Of Service from time to time. Upon any change in the terms and conditions of the Terms Of Service, Semonics will notify you by posting the changes as a start-up screen following your account log-on. If you agree to be bound by the changes, you must again click the "I Accept" button on this start-up screen. If you do not click the "I Accept" button, you may terminate your account at any time.
Customer agrees to indemnify and hold Semonics, its officers, employees and supporting contractors, harmless from any claim or demand, including attorney's fees, made by any third party due to or arising out of Customer's use of the Service, the violation of this SemonicsTOS by Customer, or the infringement by Customer, or other user of the Service using Customer's computer, of any property or other right of any person or entity.
Customer acknowledges that content, including but not limited to text, software, graphics, domain names, or other material presented to Customer as part of the Service ("Content") by Semonics, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws; therefore, Customer is only permitted to use this Content as expressly authorized by Semonics. Customer may not copy, reproduce, distribute, or create derivative works from this Content without expressly being authorized to do so by Semonics.
Semonics has the right to use the (company) names of their customers for marketing or promotional purposes. Semonics will provide customers with an opportunity to decline this right, when this is requested from customer by e-mail: info (at) semonics.com
